1. Supply of Services

1.1 QuidCalc is a software program used to calculate meat content according to The Food Labelling (Amendment) (England) Regulations 2003.

2. Site Information

2.1 To the fullest extent at law, QuidCalc is providing this site and its contents on an “as is” basis and makes no representations or warranties of any kind with respect to this site or its contents.
2.2 For information recipes are not stored on the website for both security and confidentiality reasons.

3. Warranty

3.1 Provided the customer complies with its obligations under this agreement QuidCalc will use its reasonable skill and care in providing the service but will have no liability whatsoever for any and all direct, indirect or consequential loss arising from any delay or failure to provide all or any loss of data which may be sought from delays, failure to deliver or service interruptions outside the control of QuidCalc including (without limitation) those arising from errors or omissions on the part of the customer or from levels of use which are unusually large and which have the effect of causing disruption or delays in the service.
3.2 The company shall take every care to ensure the information used in the development of the program is accurate and relevant to the industry at the time. The program may be modified at any time in line with available guidelines or any other statutory requirements.
3.3 QuidCalc does not warrant that the services and/or software (including without limitation the Software) are error free or operate without interruption or are compatible with all equipment and software configurations.
3.4 QuidCalc does not represent or warrant the accuracy or reliability of any of the information accessible via this site.
3.5 The warranties stated in these terms and conditions shall be subject to the customer complying with its obligations under this agreement and all other relevant agreements and to the customer having used the service strictly in accordance with the instructions of QuidCalc and in accordance with this agreement.

4. Force Majeure

4.1 QuidCalc shall not be liable for any delay in or failure to perform obligations if that delay or failure is caused by circumstances beyond its reasonable control, including without limitation fires, strikes, insurrection, riots, war, embargoes, inability to obtain supplies, refusal or revocation of license or regulations of any civil or military authority, fire, act of God, flood or any network breach, breakdown in any Third Party equipment including Third Party computer hardware or Third Party software and any other cause at or beyond either party’s reasonable control. If any such circumstances continue for a period of three months either party may by notice to the other party terminate this Agreement whereupon the customer shall forthwith cease to use the Services.

5. Intellectual Property

5.1 The customer acknowledges and agrees that all Intellectual Property rights in and relating to the QuidCalc logo, QuidCalc trademarks and Software are owned by QuidCalc or its affiliates. The customer may not use any Intellectual Property rights without the prior written consent of QuidCalc.

6. Confidentiality

6.1 QuidCalc will keep confidential and will ensure that its employees and sub-contractors keep confidential and will not (except as expressly authorised by the customer or required by the duties imposed on either party hereunder) use or disclose or attempt to use or disclose to any person confidential information that comes to the knowledge of the parties of this agreement.

7. Publicity

7.1 The customer acknowledges that QuidCalc and its associated companies may from time to time send communications to the Customer via electronic mail, telephone, fax or post advising the customer of further goods and services offered by or through QuidCalc and associated companies.

8. General

8.1 For the purpose of this agreement and the services to be performed hereunder QuidCalc is acting as an independent contractor. The customer shall have no right, power or authority whatsoever to create any obligation, express or implied, on behalf of QuidCalc unless QuidCalc has specifically authorised the same in writing.

9. Modification of Terms

9.1 QuidCalc reserves the right to modify these terms at any time without prior notice. Any modifications of these will be deemed to be effective from the date and time of posting on the QuidCalc site.

10 Governing Law

10.1QuidCalc is governed by English & Welsh Law who shall have exclusive jurisdiction in respect of any dispute.
